Interpretation and Definitions
Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms and Conditions:

Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Swarm Holdings, Inc., 548 MARKET ST PMB 83455, SAN FRANCISCO, CA 94104.

Competition refers to SwarmHackers 2025: The People & Relationship Data Hackathon.

Content refers to content such as code, templates, documentation, or other information that can be posted, uploaded, linked to or otherwise made available by You in relation to the Competition.

Country refers to: California, United States.

Participant or You means the individual or team accessing or participating in the Competition.

Service refers to The Swarm platform and API services provided during the Competition.

Submission refers to any work product, code, template, or other deliverable submitted as part of the Competition.

Acknowledgment

These are the Terms and Conditions governing participation in the Competition and the agreement that operates between You and the Company. Your participation in the Competition is conditioned on Your acceptance of and compliance with these Terms and Conditions.

By participating in the Competition You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not participate in the Competition.

You represent that you are over the age of 18. The Company does not permit those under 18 to participate in the Competition without parental consent.

Your participation is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company.

Competition Structure and Timeline
Tracks

The Competition includes three tracks:

  • DevHack: Build Swarm API-powered agents
  • RevHack: Generate outcomes using The Swarm platform
  • ClayHack: Create Clay templates with Swarm enrichments
Timeline

Competition periods will be announced on the Competition website. Some tracks may run during specific weekly periods as determined by the Company. All important dates and deadlines will be communicated via the Competition website and participant communications.

Eligibility
  • Open to individuals and teams worldwide
  • Participants must be 18+ years old or have parental consent
  • Employees of The Swarm, sponsors, and their immediate families are eligible to participate but not eligible for prizes
API Access and Service Usage

During the Competition, participants receive complimentary access to The Swarm API and services. Your use of these services is subject to:

  • The Swarm's standard Terms and Conditions
  • Reasonable usage limits as determined by the Company
  • Proper API usage guidelines provided during the Competition

Misuse of API access or services may result in disqualification from the Competition.

Data Collection and Privacy

We collect and process the following information in connection with the Competition:

  • Contact information (name, email address)
  • Submission materials (code, templates, documentation, links)
  • Usage data from The Swarm API and services during the Competition
  • Professional profile information as necessary for Competition purposes

All data is handled in accordance with our Privacy Policy and applicable privacy laws including GDPR and CCPA.

By using The Swarm services during the Competition, you acknowledge that The Swarm may collect and store data from certain webpages you visit, limited to publicly available data related to people's professional experience, current company and job title, education, and other publicly available information, in accordance with our standard Terms and Conditions.

Submissions and Content
Your Right to Submit Content

You are responsible for the Content that You submit to the Competition, including its legality, reliability, and appropriateness.

By submitting Content to the Competition, You grant Us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content in connection with the Competition and its promotion. You retain ownership of Your original Submissions.

Content Requirements and Restrictions

Submissions must be original work and not infringe third-party rights. You may not submit any Content that is:

  • Unlawful or promoting unlawful activity
  • Defamatory, discriminatory, or offensive
  • Infringing on any proprietary rights of any party
  • Containing malware or other harmful components
  • False or misleading

Clay templates submitted may be featured in public galleries and promoted to the Clay and Swarm communities.

Intellectual Property
Your Intellectual Property

You retain ownership of your original Submissions. However, by participating, you grant The Swarm and Competition sponsors a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and promote your Submission in connection with the Competition.

Company Intellectual Property

The Swarm service and its original content, features and functionality are and will remain the exclusive property of the Company and its licensors. The service is protected by copyright, trademark, and other laws.

Judging and Prizes
  • Winners selected by jury panel including industry experts
  • Judges' decisions are final and binding
  • Prize eligibility subject to verification and compliance with these terms
  • Participants are responsible for any taxes on prizes
  • Prize amounts and eligibility as announced on the Competition website
Termination and Disqualification

We reserve the right to disqualify participants or terminate their participation for:

  • Violation of these terms
  • Violation of The Swarm's standard Terms and Conditions
  • Fraudulent, abusive, or unsportsmanlike behavior
  • Failure to meet submission requirements
  • Any conduct deemed harmful to the Competition or other participants
Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of data, business interruption, or other losses) arising out of or in connection with your participation in the Competition.

The Company's total liability for any claims arising out of the Competition shall not exceed $100 USD.

"AS IS" and "AS AVAILABLE" Disclaimer

The Competition and related services are provided "AS IS" and "AS AVAILABLE" without warranty of any kind. The Company disclaims all warranties, whether express, implied, statutory or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Governing Law and Disputes

The laws of the State of California, United States, excluding its conflicts of law rules, shall govern these Terms and your participation in the Competition.

If You have any concern or dispute about the Competition, You agree to first try to resolve the dispute informally by contacting the Company at hello@theswarm.com.

Changes to These Terms

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide notice prior to any new terms taking effect.

By continuing to participate in the Competition after revisions become effective, You agree to be bound by the revised terms.
